In August 2021, Barcelona could not register Lionel Messi. He had signed a new contract and accepted a 50% pay cut, and the club still could not put him on the pitch. Two years later they were spending like almost nobody else in Europe. Nothing about the money coming into the club had changed. What changed was a vote. On 16 June 2022, a few hundred members walked into a hall and were asked whether Barcelona should sell a share of the next 25 years of its television income. 494 said yes. 62 said no. This is what they actually sold, what it did to the accounts, and why LaLiga rewrote its own rulebook three months after the last deal closed. Four things in here that most versions of this story leave out: — Barcelona did not sell its TV rights. It could not. Those rights belong to the league. What was sold was a share of Locksley Invest, the company that receives the money. — Locksley Invest was registered on 11 January 2022 — five months before anyone voted on anything. — The club's own audited accounts state that for the first 25 years it has no right to that company's profits. It owns 49% of something it earns nothing from. — In the 2023-24 accounts the auditors refused to sign cleanly for the first time, citing a material misstatement.
