Corporate governance rates companies, not people. Matt Moscardi left MSCI, where he built ESG ratings, to score the power of every board of directors member at Free Float Analytics. This is TBLI Radical Truth with Robert Rubinstein. Moscardi's argument is that companies do not make decisions, people do, and the ratings industry already holds the data to measure those people and will not use it. His reason: telling a director at the peak of their career that there is a bell curve, and they are on the wrong half of it, is the third rail nobody wants to touch. Matt Moscardi spent almost ten years at MSCI, where he built the financial sector ESG ratings. He co-founded Free Float Analytics with Damion Rallis and co-hosts the Business Pants podcast. Free Float scores the power and influence of individual directors across roughly 10,000 companies and seven years of data, and attributes company performance back to them. WHAT'S COVERED - The Boeing Max 8 board, where two thirds of directors traced back to one man who chaired the nominating committee and ran a lobbying firm they were clients of - Why the data already sits with MSCI, ISS and Glass Lewis, and why none of them will publish it - Sports analytics knows a midfielder's contribution per minute, and you cannot name ten directors of the companies you own - Microsoft, top rated on climate, where his data says not one director has ever seen carbon fall on their watch, at any company - Why he is deliberately avoiding the question of whether this generates alpha - The gender power gap: mandates deliver diversity and almost no inclusion, and Norway is the worst performer of all - Recycled directors, and what it means when someone sits on every board and holds 3% of the influence on each - Ronald Sugar, four mega cap boards, and a network power measured in the trillions - Disney: Iger out, Chapek in, and the chair and CFO who reversed it - Why stewardship teams call voting against a director "aggressive", and what access to management really costs - Giving the S&P 500 data away free as a trojan horse for journalists - One in four US companies restated their financials after the crisis, so which numbers are really window dressing - The biggest missing data point in the world: what a company pays its employees in aggregate CHAPTERS 00:00 Introduction, and meeting Matt Moscardi 02:50 Ten years building ESG ratings at MSCI, and why he left 03:56 Boeing, the Max 8 board, and the one director who connected it 04:56 Measuring the power and influence of every director 05:47 Where the data comes from, and why the big providers will not touch it 07:41 The bell curve nobody wants to hear about 08:40 Sports knows more about a midfielder than we know about a director 12:09 Microsoft: the directors his data says have never seen carbon fall 14:00 Why he is avoiding the alpha question on purpose 15:40 "Show me that having all white men increased your returns" 20:59 The gender power gap: diversity without inclusion 22:01 Why Norway has the worst power outcomes for women on boards 23:26 Ronald Sugar, and a network power measured in trillions 28:03 Recycled directors, and what 3% of the influence actually buys 30:53 Disney: Iger, Chapek, and the two women who reversed it 34:40 Access to management, and why nobody votes against a director 37:17 Making the S&P 500 data free as a trojan horse 46:35 One in four US companies restated their financials 48:30 The biggest missing data point globally: what employees are paid 56:29 What he actually wants from you: tell him he is wrong ▶ Subscribe for a new Radical Truth conversation every week: https://www.youtube.com/channel/UCDBhRVM93uUnAAtqOMIz_yg?sub_confirmation=1 RELATED EPISODES - Christopher Marquis, Cambridge Judge, on why most corporate sustainability is a smokescreen. - Michaela Berglund, Feminvest, on who actually owns the wealth they help create.
